The Outmate.ai platform, website, application, application programming interfaces, the visitor-tracking pixel, source code, and all related materials (collectively, the "Platform") are the property of Outmate and its licensors and are protected by copyright, trademark, trade-secret, and other intellectual-property laws of its jurisdiction of incorporation, the United States, India, the European Union, and other jurisdictions, and by international treaties.
Except as expressly permitted in writing or under the limited license granted in our Terms and Conditions, no part of the Platform may be reproduced, distributed, modified, publicly displayed, transmitted, or used to create derivative works.
2. SCOPE OF PROTECTED MATERIAL
The intellectual property owned or licensed by Outmate includes, without limitation: the Platform's software and source code; the user interface, visual design, layouts, and look and feel; the features and functionality; the identification, de-anonymization, scoring, and matching logic and algorithms; the data models and schemas; the Copilot prompt architecture, system prompts, and AI-orchestration design; the structure, selection, and arrangement of Enriched Data; product and technical documentation; copy, text, graphics, and media; and all brand assets, including the Outmate name, logos, and design marks.
Nothing in this notice grants any right or license to any of the foregoing except as expressly stated in our Terms and Conditions.
3. TRADEMARKS
"Outmate", "Outmate.ai", "Outmate Copilot", "Visitor Tracking" (as used by Outmate to denote its visitor-identification feature), and the Outmate logos and product names are trademarks or service marks of Outmate ("Outmate Marks").
You may not use the Outmate Marks without our prior written permission, except for nominative, factual references that do not imply sponsorship or endorsement. You must not use the Outmate Marks in a manner that is misleading, disparaging, or likely to cause confusion, or as part of your own product, service, or domain names.
Other names, logos, and marks appearing on or through the Platform are the property of their respective owners and are used for identification purposes only; their appearance does not imply any affiliation with or endorsement by Outmate.
4. USER-GENERATED CONTENT
Ownership. As between you and Outmate, you retain the intellectual-property rights you hold in the content you create or submit through the Platform, including prompts, instructions, sequences, workflows, ICP configurations, knowledge-base content, and uploaded data ("User Content").
License to Outmate. You grant Outmate a worldwide, non-exclusive, royalty-free, sublicensable (to subprocessors as necessary) license to host, store, reproduce, process, transmit, display, and create derivative works of your User Content solely as necessary to operate, provide, secure, and improve the Platform and to execute the services and automations you request, including running your prompts, sequences, and workflows.
Aggregated and Anonymized Insights. Outmate may create and use aggregated, de-identified, and anonymized data and insights derived from User Content and Platform usage, which Outmate owns, provided such data does not identify you or any individual.
Responsibility. You represent that you have all rights necessary to submit your User Content and to grant the license above, and that your User Content does not infringe any third-party right or violate any law.
5. THIRD-PARTY AND OPEN-SOURCE COMPONENTS
The Platform incorporates third-party and open-source software components, which remain the property of their respective owners and are licensed under their respective licenses. Outmate's incorporation of these components does not transfer ownership of them to any user, and your use of the Platform does not grant you rights in these components beyond those in their applicable licenses.
Principal third-party and open-source components include, without limitation:
Frontend and user-interface components: Next.js, React and React DOM, TypeScript, Radix UI primitives, Tailwind CSS, Lucide icons, Framer Motion, Recharts, React Hook Form, Zod, Zustand, Axios, date-fns, PapaParse, and SheetJS/xlsx. These are generally made available under permissive licenses such as the MIT License (and BSD-style licenses for certain components).
Backend and infrastructure components: FastAPI, Uvicorn and Gunicorn, SQLAlchemy, Alembic, pgvector, Pydantic, Celery, Redis client libraries, PyJWT, Passlib, google-auth, httpx, BeautifulSoup, feedparser, SlowAPI, sentence-transformers, and related LLM-orchestration libraries (such as LangChain-family libraries). These are generally made available under permissive licenses such as the MIT, BSD, and Apache 2.0 Licenses.
A complete and current list of third-party components and their licenses is maintained in the Platform's dependency manifests and is available on request.
Where any open-source license requires attribution or reproduction of license text, Outmate complies with those requirements through its notices file and source distributions as applicable.
6. RESTRICTIONS
You must not, and must not permit others to: (a) copy, reproduce, republish, frame, or mirror any part of the Platform except as expressly permitted; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, models, algorithms, or trade secrets of the Platform, except to the extent this restriction is prohibited by applicable law; (c) scrape, crawl, harvest, or use automated means to extract data or content from the Platform other than through documented features and APIs; (d) remove, obscure, or alter any copyright, trademark, or proprietary notices; (e) use the Platform or its content to develop a competing product or service; or (f) infringe or misappropriate any intellectual-property right of Outmate or any third party.
7. COPYRIGHT INFRINGEMENT AND TAKEDOWN
Outmate respects the intellectual-property rights of others and expects users to do the same. If you believe that content available on or through the Platform infringes your copyright, you may submit a notice to our designated contact at gautam@outmate.ai.
Your notice should include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location, with sufficient detail to locate it; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury where applicable, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.
We will review properly submitted notices and take appropriate action, which may include removing or disabling access to the material. We may also forward notices to the party that provided the material.
